Synallagi' Strategic Switch
Banks, Tokenization and the Value of Petroleum Reserves
The financial infrastructure for tokenized assets is becoming operational. The opportunity for oil & gas is substantial, provided the industry can establish the commercial discipline, financial accountability and operating information necessary to support it. This is where Synallagi's design becomes directly relevant to producers, investors and the banks financing their assets.
Tomorrow's U.S. midterm elections will help shape the prospects for advancing the Digital Asset Market Clarity Act, commonly known as the CLARITY Act, during the remaining session of Congress. The Senate's September 15 vote failed to advance the legislation. Its future remains unresolved, but developments in institutional finance are already demonstrating that parts of the digital asset infrastructure can proceed under existing authority. The Senate's voting record is available here.
The treatment of stablecoin interest and rewards has been a significant source of disagreement. Banking organizations argue that arrangements resembling deposit interest could draw funds away from banks and impair their lending capacity. Their objections concern the competitive implications for their funding model. However, the legislative dispute also involves other matters, including ethics provisions and the treatment of software developers. We cannot attribute the entire delay to one issue or assume that resolving it would guarantee passage. The banking industry's position and the Senate sponsors' description of their revised text establish that broader context.
Several distinct products are involved. Payment stablecoins are designed to maintain a stable redemption value and serve as instruments of payment and settlement. Tokenized securities represent legally defined investment interests in digital form. A token associated with an oil & gas property would need to specify the ownership, income or security interest it represents and the obligations attached to that interest. Its holder would remain exposed to the economic risks of the underlying investment.
The GENIUS Act, enacted on July 18, 2025, established a federal framework for payment stablecoins. It requires permitted issuers to maintain qualifying reserves, including cash, deposits and short-term Treasury instruments, and prohibits those issuers from paying interest or yield solely for holding, using or retaining their payment stablecoins. The broader debate concerns the treatment of rewards and arrangements involving other parties. The Act's general effective-date provision is the earlier of January 18, 2027, or 120 days after qualifying final implementing regulations. The OCC's final rule, published October 23, takes effect January 18, 2027. Statutory requirements, the effective-date provision and the OCC's final rule provide the relevant distinctions.
These disagreements coexist with substantial institutional investment in tokenization. Banks can oppose a particular stablecoin rewards model while supporting digital custody, securities settlement and more efficient collateral management. For Synallagi, that distinction matters.
On October 28, The Depository Trust Company, a subsidiary of the Depository Trust & Clearing Corporation, launched the DTCC Tokenization Service. It creates digital representations of eligible securities held at DTC while preserving the rights and economic entitlements attached to the underlying securities. Its authorized scope includes Russell 1000 constituents, qualifying exchange-traded funds and U.S. Treasury securities.
DTC reports more than $114 trillion in assets under custody. That figure describes the scale of its existing custody business; it is not the amount tokenized at launch. Twenty participants had signed agreements to access the service, including J.P. Morgan, Bank of America, Citi, Morgan Stanley and State Street. More than 150 firms contributed through the industry working group.
The service is intended to improve collateral mobility, liquidity and connections between traditional and digital markets. Its commercial benefits will depend on adoption and performance at scale. Nevertheless, an operational service represents a material advance beyond a proposed technology. DTCC's launch announcement sets out the scope and participants.
The institutional foundation is significant. A blockchain entry represents rights established through recognized legal and securities arrangements. The credibility of the investment continues to depend on those arrangements, the underlying asset and the institutions administering it.
Synallagi has incorporated stablecoins and asset tokenization into its design. We intend to deploy these capabilities throughout Synallagi by way of the Financial Marketplace module and the services delivered by our user community and their service provider organizations. Stablecoin settlement, digital investment interests and transactions involving oil & gas assets each have a role within that architecture.
The potential extends well beyond moving money more quickly. It includes improving how capital reaches an asset, how ownership interests are administered, how obligations are settled and how investors and lenders assess the property throughout their involvement.
A producing oil & gas property presents considerably greater complexity than issuing a digital representation of an existing security. Its commercial record must address ownership interests, title, operating agreements, production, Petroleum Reserves, liabilities, contractual commitments and financial performance. That record changes as the property is developed and operated.
The Joint Operating Committee provides the organizational foundation around which Synallagi assembles this information. Its contribution is the continuing operational and economic accountability of the underlying property. Any digital investment interest would connect to an asset whose condition, obligations and performance can be examined through a maintained record.
The responsibilities are complementary. Synallagi establishes and maintains the operating and financial information. The appropriate legal and financial institutions establish and administer enforceable ownership and security interests. Digital market and settlement infrastructure facilitates authorized transactions involving those interests.
DTCC's approach illustrates the importance of connecting digital representations to established institutional authority. It does not establish eligibility for oil & gas working interests or resolve the particular requirements of those assets. Those requirements remain part of the work ahead.
As the scope of Synallagi becomes more visible, so does the volume of detail required to deliver it. We are still outlining much of that detail. Our user community will define how the work is performed, who performs it, what authority is required, what evidence is retained and how exceptions are resolved.
The alternative is to continue asking individual producers to undertake overlapping software developments, repeatedly addressing many of the same industry requirements. People, Ideas & Objects proposes a shared development effort supported by three distinct competitive advantages: our research, our Intellectual Property and our user community.
User participation is central to this model. The people who understand oil & gas administration and accounting must define the requirements, test the results and remain accountable for the quality of the services built from them. Their knowledge cannot be replaced by assumptions made at a distance from the work.
We are already using Artificial Intelligence at the highest level our budget supports and intend to continue doing so throughout development. The benefits can be directed toward greater speed, higher throughput or deeper analysis and improved quality. Our developers and user community members will need to exercise judgment about where those benefits create the greatest value.
For a system that will administer ownership, money, obligations and producer profitability, quality will remain a governing requirement.
Our immediate constraint is participation and the financial support necessary to enable it. Participation depends on whether the industry chooses to support this initiative. At the present pace, the twenty-fifth century may arrive before our initial commercial release. The exaggeration makes a practical point: a development schedule requires committed people and resources.
Each prospective participant therefore faces a commercial assessment. What operating model will the industry need in the years ahead, and who will undertake the work required to establish it? Continuing with arrangements that already fail to deliver the required results is itself a decision about the future.
We have recently shifted our emphasis toward the banks financing U.S. oil & gas producers. Investors remain essential to the broader opportunity. However, banks have an immediate interest in the continuing economic condition of the properties supporting their loans.
My concern is that some producer officers and directors treat financial restructuring as an acceptable substitute for reforming the operating model. Existing equity can be impaired or eliminated without correcting the commercial practices that contributed to the problem. A change in capital structure does not, by itself, establish property-level profitability and accountability.
Banks generally hold lending claims and security interests rather than owning the Petroleum Reserves outright. Their exposure can also change through repayment, refinancing, sales, restructuring or enforcement. Nevertheless, while a loan remains outstanding, the economic performance and recoverable value of its collateral remain central concerns.
That gives banks a reason to evaluate a more proactive approach. If management's position amounts to “we are here for the long term; live with it,” the lender still has to assess what that position means for the assets supporting its credit.
Synallagi offers an architecture through which banks could obtain more useful information about those assets and support a more disciplined approach to their administration. The objective is to preserve and improve the economic value available to the parties financing and owning the property.
Our price maker strategy begins with the producer's authority over its own production. Commercial discipline begins with knowing the economics of each property and acting on that information. Unprofitable production is shut in, and the property enters an inventory of innovative projects intended to return it to profitable production.
Improved commodity price realization can increase the economic value of Petroleum Reserves. It can also support the commercial development of additional volumes where technical, contractual and other conditions permit. The significance for lenders is the possibility of stronger underlying collateral supported by better operating decisions and more reliable information.
This is the opportunity we are asking banks to consider. Whether shifting our emphasis toward them proves strategically successful will depend on their response. For now, we are satisfied to call it a shift.
Their participation in DTCC's service shows that major financial institutions are already preparing for tokenized securities. Their objections to particular stablecoin rewards arrangements do not negate that participation. The infrastructure and the dispute address different commercial interests.
Synallagi's contribution is the ability to support those emerging markets with reliable information about producing oil & gas assets. We have repeatedly described that requirement as financial reporting at the property or Joint Operating Committee level, based on actual, factual, standard and objective accounting information.
That information becomes particularly consequential when an investment interest is expected to circulate beyond the parties directly involved in operating the property. A prospective buyer or lender needs to understand both the rights represented and the economic condition of the asset supporting them.
This brings us to the distinction between reserves value and operating performance.
The Petroleum Reserves provide the underlying resource basis for the investment. Independent engineering evaluation establishes the estimated recoverable quantities, classifications, production assumptions and associated economic assessment. A monthly income statement cannot substitute for that work.
Multiplying reserve volumes by assumed commodity prices indicates gross revenue potential under those assumptions. An investment valuation must also consider the interest being acquired, production timing, development and operating costs, royalties, taxes, retirement obligations, uncertainty and the time value of money. A token's market price will additionally reflect its particular rights, restrictions and liquidity. U.S. producer disclosures illustrate the role of these assumptions in reserves-related valuations.

The distinction we need to preserve is therefore between an independently evaluated resource and its demonstrated commercial performance. They are different measures, and each informs the investor's assessment.
Monthly financial statements establish how the property is performing: the revenues it realizes, the actual costs it incurs, the obligations it carries and the cash it generates or requires. Over time, those results also test the assumptions supporting the reserves evaluation.
A property that calls upon its owners for cash every month to sustain recurring operating losses presents a different investment proposition from one funding its ongoing operations and obligations from production. Planned capital expenditure may properly require additional funding; persistent operating losses demand a different response. The quality and purpose of each cash call must be visible.
Synallagi is designed to provide that visibility and the commercial discipline to act upon it. Profitable production must support an appropriate balance among capital investment, debt retirement, future obligations and distributions to owners. Dividend capacity must be established through the property's economics and cash requirements.
Our purpose remains clear: Synallagi makes oil & gas profitable, everywhere and always. That purpose requires us to identify unprofitable production, stop the continuing losses and organize the work necessary to restore profitability.
We have published the architecture and established the framework through which our user community can undertake that work. Delivering it now requires participation, development and financial commitment.
Banks are building the infrastructure through which digital investment interests can move. Synallagi is designed to establish the operating discipline and accountability through which oil & gas assets can become credible participants in those markets. The opportunity is to connect the two. That is the substance of the Synallagi Strategic Switch.
